1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the SlidesFolder website and digital products, operated by Goopiel Ventures GmbH (“SlidesFolder,” “we,” “us,” “our”).

By accessing or using SlidesFolder, creating an account, or purchasing any digital product, you agree to be bound by these Terms and any additional policies referenced here (including our Privacy Policy and Cookie Policy). If you do not agree to these Terms, you must not use SlidesFolder.

2. Definitions

Throughout these Terms, the following defined terms apply:

“Service” means the SlidesFolder website, platform, and all related features and functionality.

“Digital Products” means all downloadable templates, slide decks, spreadsheets, and other digital assets available for purchase through the Service.

“End Product” means a finished work (such as a presentation, report, or document) that incorporates a Digital Product and is customized for a specific purpose.

“Subscription” means a recurring payment plan granting access to Digital Products for the duration of the subscription period.

“You” / “User” means any individual or entity accessing or using the Service.

3. Eligibility and Account

You represent that you are at least the age of majority in your place of residence and legally able to enter into a binding contract, or that you have parental or guardian consent to use the Service.

You must provide accurate, current, and complete registration and billing information and keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at contact@slidesfolder.com if you become aware of any unauthorized use of your account.

If we discover or reasonably suspect that a user is under the age of 16, we will promptly delete the account and any associated personal data, in accordance with GDPR Article 8.

4. Intellectual Property

All content on the Service—including but not limited to Digital Products, website design, logos, trademarks, text, graphics, and software—is owned by or licensed to Goopiel Ventures GmbH and is protected by German, EU, and international intellectual property laws.

Nothing in these Terms transfers any intellectual property ownership to you. Your rights to Digital Products are strictly limited to the license granted in Section 5 below.

5. License to Digital Products

5.1 What You Can Do

Subject to your compliance with these Terms and payment of applicable fees, SlidesFolder grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Download and use Digital Products for your own internal business or personal use.

  • Use Digital Products in End Products you create for your own organization.

  • Use Digital Products in End Products you create for clients, provided the client receives the End Product in a finalized, non-editable format (e.g., a completed presentation or report) and not as a reusable template.

5.2 What You Cannot Do

You may not:

  • Share, redistribute, sublicense, or resell Digital Products in their original or substantially unmodified form.

  • Make Digital Products available as downloadable templates, theme files, or design resources, whether free or paid.

  • Use Digital Products as training data for AI models or machine learning systems.

  • Remove or obscure proprietary notices, watermarks, or license terms.

  • Circumvent any technical protection measures that limit copying or sharing.

  • Claim authorship of unmodified Digital Product

5.3 License Scope

The license is granted per individual user. If multiple people in your organization need to use the same Digital Products, each person must have their own account and license (or your organization must purchase the applicable team or multi-seat plan, if available).

The license survives for as long as you comply with these Terms. For one-time purchases, the license is perpetual (subject to compliance). For Subscriptions, the license to access and download new Digital Products lasts only for the active subscription period, but any Digital Products downloaded during an active subscription may continue to be used after the subscription ends, subject to the restrictions in Section 5.2.

6. Prices, Payments, and Subscriptions

6.1 Pricing

All prices are displayed on the Service and are inclusive of applicable VAT where required by law. Prices are quoted in the currency displayed at checkout.

We reserve the right to change prices at any time. Price changes will not affect orders already completed. For active Subscriptions, we will notify you at least 30 days before any price increase takes effect, and you may cancel before the new price applies.

6.2 Payment Processing

Payments are processed by Stripe, Inc. (“Stripe”). By making a purchase, you also agree to Stripe’s terms of service. We do not store your full payment card details on our servers.

6.3 Subscriptions and Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected) at the then-current price, unless you cancel before the renewal date.

You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then, and no partial refunds are issued for the remaining period.

If a payment fails, we may retry the charge and/or suspend access to the Service until the payment issue is resolved. We will notify you by email of any payment failure.

6.4 Confirmation

You will receive a confirmation email for every purchase and subscription renewal, including the amount charged, billing period, and instructions on how to cancel.

7. Refunds and Right of Withdrawal

7.1 General Policy

Due to the digital nature of our products, all sales are final and no refunds are issued once a Digital Product has been downloaded or a Subscription billing period has begun. 

7.2 EU/EEA Right of Withdrawal

If you are a consumer in the EU/EEA, you have a statutory 14-day right of withdrawal under Directive 2011/83/EU. However, by completing a purchase and consenting to immediate delivery of digital content, you expressly acknowledge that you lose your right of withdrawal once the download is made available to you.

This acknowledgment will be presented clearly during the checkout process and confirmed in your purchase receipt.

7.3 Defective Products

If a Digital Product is materially defective (e.g., the file is corrupted, incomplete, or does not match its description), you may contact us at contact@slidesfolder.com within 14 days of purchase. We will, at our discretion, provide a corrected version or issue a refund. This does not affect your mandatory consumer rights under applicable law.

8. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms and applicable laws (including EU, German, US, and local laws where relevant).

You must not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose.

  • Upload or transmit malicious code, viruses, or scripts designed to interfere with systems.

  • Attempt to gain unauthorized access to any accounts, systems, or networks.

  • Use the Service to harass, defame, or otherwise harm others.

  • Scrape, crawl, or use automated means to access the Service without our prior written consent.

  • Violate any applicable export control, consumer protection, or data protection rules.

  • Infringe the intellectual property or other proprietary rights of SlidesFolder or third parties.

  • Collect or track personal data of others in breach of privacy or data protection laws.

  • Interfere with or bypass security or access controls of the Service.

9. User Content and Feedback

SlidesFolder is primarily a download-based service and does not host user-generated content. If you do submit any content to the Service (for example, reviews, comments, or support messages), you retain ownership but grant SlidesFolder a non-exclusive, worldwide, royalty-free license to use that content solely for operating the Service.

If you submit feedback, ideas, or suggestions about the Service, you grant SlidesFolder a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

You are solely responsible for any content you submit and confirm that it does not violate any third-party rights or applicable law.

10. Privacy, Data Protection, and Cookies

SlidesFolder processes personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and applicable German federal data protection law (BDSG), as well as any applicable US or other local privacy laws.

Full details of how we collect, use, store, and share personal data—as well as your rights (including access, rectification, deletion, data portability, and objection)—are described in our Privacy Policy.

Our use of cookies and similar tracking technologies is described in our Cookie Policy. Both the Privacy Policy and Cookie Policy form part of these Terms.

11. Third-Party Tools and Links

The Service may integrate or provide links to third-party tools, services, or websites not controlled by us. Such tools or links are provided “as is” without any warranties, and your use of them is subject to those third parties’ own terms and policies.

SlidesFolder is not responsible for third-party content, products, or services and will not be liable for any loss or damage arising from your use of them.

12. Service Availability and Changes

The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

We may suspend, limit, or discontinue parts of the Service (for example, for maintenance, security, or legal reasons) and will take reasonable steps, where feasible, to minimize disruption.

We may add, modify, or discontinue features, product bundles, or Subscription tiers at any time. “All-access” or “full access” offerings include only the products available at the time of purchase unless we expressly commit otherwise.

Where required by law, we will notify you in advance of substantial changes and, if needed, seek your consent or allow you to terminate before changes take effect.

13. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, SlidesFolder disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not allowed (for example, under mandatory EU consumer protections).

SlidesFolder, Goopiel Ventures GmbH, and their directors, employees, and agents will not be liable for indirect, incidental, consequential, or punitive damages, or lost profits or data, arising from your use of the Service, except where such limitations are prohibited by law (including, without limitation, liability for intent or gross negligence under German law).

Where limitations of liability are permitted, our aggregate liability for any claims relating to the Service will be limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim, unless mandatory law provides otherwise.

14. Indemnification

To the extent permitted by applicable law (and excluding any rights you may have as a consumer under mandatory EU consumer protection law), you agree to indemnify and hold harmless Goopiel Ventures GmbH, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.

15. Intellectual Property Complaints

SlidesFolder respects the intellectual property rights of others. If you believe that content available on or through the Service infringes your copyright or other intellectual property rights, you may submit a notice to:

Your notice should include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material on the Service that you claim is infringing; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the rights holder.

We will investigate and respond to valid notices in accordance with applicable law.

16. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Failure by SlidesFolder to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Goopiel Ventures GmbH regarding the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SlidesFolder may assign these Terms (in whole or in part) to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided that any assignee agrees to be bound by these Terms.

19. Force Majeure

SlidesFolder will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, government actions, internet or infrastructure failures, or cyberattacks.

20. Term and Termination

These Terms apply from your first use of the Service and remain in effect until terminated.

You may stop using the Service at any time. You may request account deletion by contacting us at contact@slidesfolder.com or as described in the Privacy Policy.

We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if continuing to provide the Service to you would create significant legal or operational risk, subject to any mandatory notice or cure periods under applicable law.

Upon termination, Sections 4 (Intellectual Property), 5.2 (License Restrictions), 13 (Disclaimers), 14 (Indemnification), 16 (Severability), 17 (Entire Agreement), and 21 (Governing Law) survive.

21. Governing Law and Dispute Resolution

If you are a consumer resident in the EU/EEA or the United Kingdom, the mandatory consumer protection rules of your country of residence will apply, and you may bring claims in your local courts as required by law.

For business users and, where permitted by law, all other users, these Terms and any disputes arising from or relating to them will be governed by the laws of Germany, without regard to conflict-of-law rules, and the courts of Berlin, Germany shall have exclusive jurisdiction.

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution proceedings before a consumer arbitration board, but may choose to do so on a case-by-case basis.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices.

If we make material changes, we will provide at least 30 days’ notice by email or in-app notification. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms, unless mandatory law requires explicit consent.
